MyllaollaoClub Terms of Use and Agreement

USE OF THE LLAOLLAO MALAYSIA LOYALTY PROGRAM – MYLLAOLLAOCLUB CONSTITUTES ACCEPTANCE OF THESE TERMS OF USE (“TERMS”), AS SUCH MAY BE REVISED FROM TIME TO TIME AND IS A BINDING AGREEMENT BETWEEN THE USER (“USER”) AND PETRA EMPIRE SDN BHD (1151810-X), GOVERNING THE USE OF THE MYLLAOLLAOCLUB.

THE USE OF THE MYLLAOLLAOCLUB LOYALTY PROGRAM IS GOVERNED BY THE TERMS OF THIS AGREEMENT. PLEASE ENSURE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS BEFORE USING THE MYLLAOLLAOCLUB.

BY DOWNLOADING OR INSTALLING MYLLAOLLAOCLUB, USER ACKNOWLEDGES AND AGREES TO BE BOUND BY THESE TERMS AND IF USER DOES NOT AGREE TO THESE TERMS, USER OUGHT NOT TO ACCESS OR PARTICIPATE IN THE MYLLAOLLAOCLUB LOYALTY PROGRAM.

YOU ARE ADVISED TO KEEP A COPY OF THIS AGREEMENT FOR YOUR RECORDS.

PART ONE: GENERAL TERMS – MYLLAOLLAOCLUB

MyllaollaoClub is a llaollao Malaysia mobile application owned and operated by Petra Empire Sdn Bhd (1151810-X), a subsidiary of Woodpeckers Group Sdn Bhd (“WPG”).

llaollao Malaysia has developed the loyalty program to offer its customers offers, promotions, discounts, vouchers or prizes through the mobile application ‘’MyllaollaoClub’’ (hereinafter, the ‘’App’’). The supports are exclusive, that user is made accessible only to the advantages of the loyalty program through their purchases. The offers will be available in the establishments of llaollao chain in Malaysia adhered to the loyalty program at any time, operated by PETRA EMPIRE SDN BHD (1151810-X). The points value associated with the the App is not insured or guaranteed by any person or entity.

Your MyllaollaoClub is only valid for use in llaollao stores in Malaysia only. We reserve the right not to accept the App or otherwise limit use of the App if we reasonably believe that the use is unauthorized, fraudulent or otherwise unlawful.

Registration
You can register in the loyalty program by downloading the App and completing the registration form in-app. Only persons with the age above 14 are allowed to register and/or join in the loyalty program.

To be eligible to join MyllallaoClub, you must register with a valid handphone number that is unique and non-repeatable at the time you register at MyllaollaoClub. Registration in the loyalty program will generate a member code/number assigned by llaollao Malaysia, which is unique, personal and non-transferable.

Password
Once the registration is completed, the password you chose will be allocated to your account only. You agree that any person to whom your username or password is disclosed is authorised to act as your agent for the purposes of using (and/or transacting via) your account. Please be assured you are entirely responsible if you do not maintain the confidentiality of your password.

Valid Handphone Number
Your account must be registered with a valid personal handphone number that you access regularly. TAC number will be sent through the registered number for any changes to details of your MyllaollaoClub account.

Closing Accounts
You may request deletion of account at any time in-app. Subject to any other provisions hereinafter contained, we reserve the right to terminate or lock your account if you are found disrupting or misusing the App in any way.

Earning Points
The available rewards on MyllaollaoClub are based on the number of Points that you earned through your purchase. You can earn Points by making a purchase with MyllaollaoClub at any participating llaollao stores in Malaysia before completing each transaction. Collected Points cannot be transferred, sold, shared and/or exchanged.

To prevent conflict of interests, all employees of WPG shall, at all times, be prohibited from altering and/or adding additional Points to customer or personal account illegally. Any employee found to be altering Points or engaged in any unauthorized action shall be brought for disciplinary measures. Customer Users are advised to report any unusual activity by the employees directly to WPG.

We have the right to cancel the number of Points or block your account with immediate effect if you are found to misuse your account or have obtained Points fraudulently or in any illegal way.

Fees and Expiry
llaollao does not charge any fee for the use of the App. Your MyllaollaoClub Points will expire if it remains inactive (no purchase transactions) for 365 days from the date of the last purchase. Any remaining Points balance on the App will be automatically forfeited upon expiry of 365 days under any circumstances and cannot be refunded to you.

Statements
You can check the sales transaction history of your MyllaollaoClub or review the recent transactions on the App.

Redemption
The MyllaollaoClub Points at all times, cannot be exchanged for cash or credit. All reward benefits are valid only within their stipulated periods and shall only be redeemed through your personal MyllaollaoClub account. Screenshots or barcodes obtained from other sources (i.e. printed materials or third-party devices or emails) are not acceptable for processing transactions or adding points. In any event, there shall be no reversal or refund of any transaction of Points into the App.

Complaint Handling
We reserve the right to correct the Points balance of your MyllaollaoClub account if we believe that a clerical, billing or accounting error has occurred. If you have questions regarding your transaction history or any correction, or if you dispute any transaction or correction that has been assessed against your MyllaollaoClub, please contact our Customer Care Team by contacting us through the App and we will conduct an investigation and communicate the results and correct any error that we verify as soon as we finish the investigation. If no error was found, we will communicate an explanation. We will have no liability for any error unless you provide us notice within thirty (30) days of the date you become aware of the error. You should monitor your transactions and account closely.

Liability for Unauthorised Transactions
You are fully and solely responsible for the security, management and for all transactions associated with your MyllaollaoClub, including unauthorized transactions.

Additional Benefits of MyllaollaoClub Rewards
As a MyllaollaoClub member, you are eligible for the following additional benefits:

Birthday Reward. On your birthday (as registered in your MyllaollaoClub account), you will receive (1) complimentary llaollao product. Birthday Reward item may be on a seasonal limited-time basis, llaollao Malaysia may introduce a new Birthday Reward item. Refer to the exclusive deal section in-app for the latest Birthday Reward available.

To qualify for your Birthday Reward, you must provide your birthdate in your MyllaollaoClub account information, and make at least (1) Point-earning transaction prior to your birthday each year. Your Birthday Reward in a form of e-voucher will be automatically added to your MyllaollaoClub account on your birthday and is valid (10) days from the date of issue.

Early or extended access to certain promotions and offers. llaollao may offer MyllaollaoClub members early or extended access to special menu products or discounts.

Personalized offers and vouchers. Special offers may be distributed or announced through social media or in-app notification. You may be required to opt-in and activate special offers via MyllaollaoClub app. Some special offers may be customised based on your purchase behaviours and preferences and may include periodic discounts on llaollao products. Special offers may have certain restrictions, including expiration dates and short, time-limited redemption periods. Special offers are personal to you and cannot be shared, copied or transferred. You may be required to present your MyllaollaoClub reward in order to redeem the offers. Read each offer carefully for specific details, expiration dates, limitations, and restrictions.

Member’s Day, Double-Point Day. As a MyllaollaoClub member, you are eligible for (1) double-point day annually. llaollao will notify or announce the designated date of the Member’s Day on its social media platforms and in-app notification. llaollao reserves the right to exclude certain products from Member’s Day eligibility and to modify the benefits.

llaollao reserves the right to change the number and type of additional benefits offered to members of MyllaollaoClub in its sole discretion at any time.

PART TWO: CRUCIAL LEGAL TERMS

User Information
Some functionality of the App, including location based services and functionality, may require the transmission of information provided by the User including but not limited to user names and passwords, addresses, e-mail addresses, the International Mobile Equipment Identity number accessed in the User’s Device, phone-book information, information related to your MyllaollaoClub or GPS location (“User Information”). If the User uses such App functionality, the User consents to the transmission of User Information to WPG, its agents and/or service providers and authorizes WPG, its agents and/or service providers to record, process and store such User Information as necessary for the App functionality and for purposes described in our Privacy Policy. The User is solely responsible for maintenance of the confidentiality and security of any User Information transmitted from or stored on a Device for purposes of the App, including all transactions and other activities undertaken with MyllaollaoClub account registered in the User’s name or in relation to any purchase, whether authorized or unauthorized. The User agrees to immediately notify llaollao of any unauthorized transactions associated with the App including any other breach of security. Llaollao shall not be responsible for any losses arising out of the loss or theft of User Information transmitted from or stored on a Device or from unauthorized or fraudulent transactions associated with the App.

By participating in MyllaollaoClub, you hereby agree that llaollao may collect, obtain, store and process your personal data that you provide for the purpose of receiving updates, news, promotional and marketing mails or materials from llaollao. You hereby give your consent to WPG to:-

the processing of this membership application;
the administration of the membership with our organisation; and
disclose your Personal Data to the relevant governmental authorities or third parties where required by law or for legal purposes.

In addition, your personal data may be transferred to any company within the WPG. For the purpose of updating or correcting such data, you may at any time apply to the WPG to have access to your personal data which are stored by llaollao. For the avoidance of doubt, Personal Data includes all data defined within the Personal Data Protection Act 2010 including all data you had disclosed to llaollao in the App.

Acceptable Use
Use by the User of the App and any Content and User Information transmitted in connection with the Application is limited to the contemplated functionality. The User agrees that his or her use of the App and any Content must comply with these Terms and llaollao Privacy Policies. In no event may the App be used in a manner that (a) harasses, abuses, stalks, threatens, defames or otherwise infringe or violate the rights of any other party (including but not limited to rights of publicity or other proprietary rights); (b) is unlawful, fraudulent or deceptive; (c) uses technology or other means to access the App, llaollao website or Content that is not authorized by llaollao; (d) use or launch any automated system, including without limitation, “robots,” “spiders,” or “offline readers,” to access the App, llaollao Website or Content; (e) attempts to introduce viruses or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (f) attempts to gain unauthorized access to llaollao computer network or user accounts; (g) encourages conduct that would constitute a criminal offense, or that gives rise to civil liability; (h) violates these Terms; (i) attempts to damage, disable, overburden, or impair llaollao servers or networks; or (j) fails to comply with applicable third party terms (collectively “Acceptable Use”). We reserve the right, in its sole discretion, to terminate any User License, terminate any User’s participation, remove Content or assert legal action with respect to Content or use of the App, that we reasonably believe is or might be in violation of these terms of Acceptable Use or llaollao Privacy Policies including this Terms and Conditions, but llaollao’s failure or delay in taking such actions does not constitute a waiver of its rights to enforce these Terms.

Indemnification
At llaollao’s request, the User agrees to defend, indemnify, and hold harmless llaollao, WPG and their affiliated companies, and their employees, contractors, officers, and directors from any and all claims, suits, damages, costs, lawsuits, fines, penalties, liabilities, expenses (including solicitors’ fees) that arise from the User’s use or misuse of the App, violation of these Terms or violation of any rights of a third party. llaollao reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by the User, in which event the User will cooperate in asserting any available defenses. In the event of any third party claim that the Application or User’s possession and use of the App infringes that third party’s intellectual property right, llaollao, not Apple or Google, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.

No Warranties
llaollao provides the App to the User on “as is” basis and the user is using the application at his or her own consent and risk. To the fullest extent allowable under applicable law, llaollao disclaims all warranties and conditions, whether express or implied, including any warranties or conditions that the application is merchantable, of satisfactory quality, reliable, accurate, fit for a particular purpose or need, non-infringing or free of defects or errors or able to operate on an uninterrupted basis, or that the use of the application by the user is in compliance with laws applicable to the user or that user information transmitted in connection with the App will be successfully, accurately or securely transmitted.

No Liability
llaollao will not be liable the User for:

any loss of income, business, goodwill or profits arising out of this agreement;
any unauthorized access to or alteration, theft or destruction of the MyllaollaoClub account;
the consequences of any delay or mistake relating to the use of MyllaollaoClub caused by any circumstances beyond llaollao’s control;
any loss or damage which was not caused by llaollao’s breach of this agreement or breach of legal duty of care;
any loss or damage which was not a reasonably foreseeable result of either llaollao or breach of legal duty of care. Loss or damage is “reasonably foreseeable” if, at the time llaollao and the User entered into this agreement, such loss was contemplated by the User and by llaollao; or
any loss or damage suffered by the User as a result of the User failing to take reasonable precautions against such loss or damage.

Marks, Application and Content
“llaollao”, the llaollao logo, and other llaollao trademarks, service marks, graphics and logos used in connection with the App are trademarks or registered trademarks of llaollao (collectively “llaollao Marks”). Other trademarks, service marks, graphics and logos used in connection with the App are the trademarks of their respective owners (collectively “Third Party Marks”). The llaollao Marks and Third Party Marks may not be copied, imitated or used, in whole or in part, without the prior written permission of llaollao or the applicable trademark holder. The Application and the Content are protected by copyright, trademark, patent, trade secret, international treaties, laws and other proprietary rights, and may have security components that protect digital information only as authorized by llaollao or the owner of the Content.

Governing Law and Jurisdiction
These Terms are governed by the laws of Malaysia, without regard to conflict of laws rules. The User irrevocably consents to the exclusive jurisdiction of the courts of Malaysia for purposes of any legal action arising out of or related to the use of the App or these Terms.

Changes
llaollao reserves the right to change or modify these Terms or any other llaollao Policies related to use of the App at any time and at its sole discretion by posting revisions on the App. Continued use of the App following the posting of these changes or modifications will constitute acceptance of such changes or modifications.

Severability
If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

Entire Agreement; Construction
All correspondence entered into under this agreement will be in the English language. This agreement is the complete and exclusive statement of the agreement between you and Petra Empire Sdn Bhd and supersedes all prior proposals and all other agreements in respect of the subject matter of this agreement. If any provision of this agreement is illegal or unenforceable, that provision will be deleted from this agreement, and the remaining terms will not be affected. Headings are for convenience of reference only and will in no way affect interpretation of this agreement.

Important Note
There is no participation or membership fees associated with MyllaollaoClub. Points accrued in connection with MyllaollaoClub are promotional, have no cash value and cannot be redeemed for cash. In addition, your redemption of Points accrued in connection with MyllaollaoClub cannot be combined with any other offers or discounts that are applicable to Rewards for which you are redeeming such Points, unless otherwise expressly indicated by llaollao.

Your Points, Rewards, and E-vouchers registered to your MyllaollaoClub account, and your MyllaollaoClub account is personal to you and may not be sold, transferred or assigned to, shared with, family friends or others, or used by you for any commercial purpose. You may only have one (1) MyllaollaoClub account that is personal to you.
